Descriptif du poste

Contract/Legal documentation :
- Drafting legal documents such as contracts, shareholders agreement, NDA, acts and …. in English/French both financial and business law in respect of Monegasque, French and Common Law countries
- Manage all corporate law aspect of the company: incorporation/dissolution and corporate, follow up, corporate governance advice
- Participate in the negotiation of contracts in English/French for the company various projects
- Drafting, monitoring and amending commercial and supplier contracts and acts of all kinds to ensure the company’s full legal rights
- Reviews and advises on structured term sheets related to financial transactions.
- Drafts and reviews financial transaction agreements and other legal documents tailored to business needs
- Take part on contract negotiation
- Advise and communicate to the General Management
- Manage disputes with outside lawyers
- Support HR department (disputes, report & reviewing contracts …)

Legal Analysis:
- Conduct analysis of legal issues of potential significance to the Group
- Advise on strategic issues and potential future legal risks
- Give accurate and timely counsel to managers in a variety of legal topics (partnerships,
international ventures, etc.)
- Monitor litigation in collaboration with law firms


Profil recherché

- Senior profile
- A minimum of 10 years of relevant experience in a similar role;
- Master II degree in Law, international Law, business law;
- Experienced in an international company
- Fluent in English and French
- Experience with Africa country is a plus (Knowledge in OHADA law is a plus)
- A high level of analysis
- IT skills
- Strong editorial skills
- Highly organised, flexible and with strong attention to detail
